A binding price shall only be established upon the execution of a formal Service Agreement or bill of lading. The Company reserves the right to modify pricing at any time prior to the execution of a binding Service Agreement.
Payment terms for Services shall be specified in the applicable Service Agreement. Unless otherwise agreed in writing, all invoices are due within thirty calendar days from the date of invoice. Late payments shall accrue interest at the rate of 1.5% per month (18% per annum) or the maximum rate permitted by applicable law, whichever is lower.
You are responsible for all applicable taxes, duties, tariffs, and customs fees associated with the Services, unless expressly stated otherwise in the Service Agreement. The Company reserves the right to suspend or terminate Services if payment is not received when due.
The Website and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement — are owned by the Company, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The name JTB Freight, the JTB Freight Transport Inc. logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You must not use such marks without the prior written permission of the Company.
Any information, feedback, suggestions, ideas, or other materials you submit through the Website or provide to us (collectively, Submissions) shall be deemed non-confidential and non-proprietary. By providing Submissions, you grant the Company a worldwide, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, distribute, and display such Submissions for any purpose related to our business operations.

The Company does not make any warranties regarding the accuracy, completeness, reliability, or currency of any content available on or through the Website.

These Terms of Service and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms of Service, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved within thirty days through negotiation, either party may submit the dispute to binding arbitration in accordance with the Arbitration Act, 1991 (Ontario).
The arbitration shall be conducted in English, in the City of Brampton, Ontario, before a single arbitrator mutually agreed upon by the parties. The decision of the arbitrator shall be final and binding on both parties. Each party shall bear its own costs of arbitration, and the parties shall share equally the fees and expenses of the arbitrator.
To the fullest extent permitted by applicable law, you agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.
The Company shall not be liable for any failure or delay in the performance of its obligations under these Terms of Service or any Service Agreement to the extent such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government orders, epidemics, pandemics, labour disputes, transportation disruptions, fuel shortages, and equipment failures (each a Force Majeure Event).
During a Force Majeure Event, the Company shall be excused from performance for the duration of the event and shall resume performance as soon as reasonably practicable after the event concludes. If a Force Majeure Event continues for more than sixty days, either party may terminate the affected Service Agreement upon written notice to the other party.
If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions shall continue in full force and effect. The invalidity of any provision shall not affect the validity or enforceability of any other provision of these Terms of Service.
No waiver by the Company of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service, together with our Privacy Policy and any applicable Service Agreement, constitute the sole and entire agreement between you and Jtb Freight Transport Inc. with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the subject matter herein.
We reserve the right to modify or replace these Terms of Service at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least thirty days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
